Brave Bison Raises Its System1 Bid to £47.5m in a Fourth Attempt

TL;DR: Brave Bison has increased its takeover offer for ad-effectiveness specialist System1 to £47.5m (360p a share) in its fourth bid, pushing on despite resistance from System1's largest shareholder.

A fourth bid, and a higher number

Digital media and marketing group Brave Bison has raised its offer for System1 to roughly £47.5m, equivalent to 360p a share, according to reporting from Proactive Investors, UK Investor Magazine and Law360. It is the fourth time Brave Bison has increased its offer, having started at around £43m.

System1, best known for its emotion-based ad-testing and its 'Test Your Ad' platform, is listed on London's AIM market. Brave Bison has framed the deal as the foundation of a larger marketing-data and services challenger, and has now posted a formal offer document to shareholders.

Why the resistance matters

The bid is not going through unopposed. Reporting notes that System1's biggest shareholder has pushed back, arguing the price undervalues the business — a reminder that even a rising offer can stall when a significant investor digs in.

For Brave Bison, persistence signals genuine strategic intent rather than opportunism. Repeatedly raising the number is expensive and public; you only do it when you believe the target is worth materially more to you combined than it is alone.

The Marketing Minute read

This is a small deal by holding-company standards, but a telling one. Data and measurement assets are being snapped up because proving effectiveness is the scarcest currency in marketing right now, and System1's methodology is a recognised brand in that niche.

Expect more of these bolt-on acquisitions as mid-size groups race to own proprietary data and measurement rather than rent it. In an AI-saturated market, the businesses that can credibly say 'here is what works, and here is the evidence' will command a premium.

What smaller marketers should note

You do not need an M&A budget to take the lesson. The value everyone is chasing here is trustworthy evidence of what moves the needle — and that is buildable in-house through disciplined testing and clean measurement.

Before your next campaign, ask a simple question: if someone offered to buy your marketing function tomorrow, what proof of effectiveness could you actually hand over? If the answer is thin, that is your first project.
